Nevada Statutory Disclosures
Nevada Revised Statutes (NRS) governance provisions relevant to Delaware→Nevada redomestications. Five sections summarized; each links to the Nevada Legislature’s authoritative NRS text. Counterpart to the Texas § 21.552 / § 21.373 panel for TX-destination firms.
Codifies the business-judgment rule and limits monetary liability of directors and officers absent breach of loyalty, intentional misconduct, fraud, or knowing violation of law. Stronger statutory shield than DGCL § 102(b)(7) on its face; charter opt-out / carve-out is firm-specific.
PENDING VERIFICATION
Adoption with carve-out by King Resources, Inc.: primary-source verification pending; canonical record not yet populated.
Broad permissive indemnification statute; covers expenses, judgments, fines, and amounts paid in settlement for any action by reason of service as director or officer, subject to good-faith standard. Charter / bylaw uptake is firm-specific.
PENDING VERIFICATION
King Resources, Inc. indemnification provisions pending charter / bylaw extraction.
Nevada's control-share acquisition statute (anti-takeover): voting rights of shares acquired in a “control-share acquisition” are extinguished absent disinterested-shareholder approval. Opt-out is by charter or bylaw amendment; default is opt-in for Nevada corporations meeting the statute's coverage thresholds.
PENDING VERIFICATION
King Resources, Inc. opt-in / opt-out status pending charter or bylaw verification.
Nevada's business-combination statute (anti-takeover): for two years post-acquisition, a Nevada corporation may not engage in a “combination” with a 10%+ interested stockholder unless the board pre-approved the transaction. Charter opt-out available.
PENDING VERIFICATION
King Resources, Inc. opt-in / opt-out status pending charter verification.
Authorizes conversion of a foreign business entity into a Nevada domestic entity by filing articles of conversion. The Nevada analog to DGCL § 266 (Delaware) and TBOC §§ 10.101–108 (Texas). Where used, the firm's redomestication is a true legal-entity conversion rather than a reverse-triangular merger.
PENDING VERIFICATION
Mechanism (§ 92A.135 conversion vs. merger-with-NV-sub) pending primary-source verification.
Primary-source pending. Where badges read “PENDING VERIFICATION,” the firm-specific adoption posture (e.g., charter carve-outs to NRS § 78.138, opt-outs from NRS §§ 78.378–3793 or 78.411–444) has not yet been extracted from the firm’s amended-and-restated articles or proxy materials. The presence of a Nevada incorporation alone does not establish adoption of every provision; opt-outs are charter-level facts.

Audit notes[2026-05-26] v6-rev83 KRFG addition: King Resources, Inc. (OTC: KRFG; CIK 0000774415; formerly OneSolution Technology Inc.; incorporated 1995) approved DE→NV reincorporation by written consent of majority stockholder on May 12, 2026. Consenting stockholder: Lee Ying Chiu Herbert, holder of all 30,000,000 shares of Series C Preferred Stock (each share votes as 100 shares common = 3,000,000,000 votes; ~97.2% of total voting power). Mechanism: conversion under DGCL §266 + NRS §§ 92A.195 and 92A.205 (Articles of Conversion + Certificate of Conversion). Per Rule 14c-2: Effective Time no earlier than 20 calendar days after Information Statement mailing (~May 16, 2026 mailing per filing dated May 14, 2026), so earliest effective date approximately June 5, 2026. Stockholders need NOT exchange certificates. Common Stock will continue trading on OTC Markets under symbol 'KRFG' per filing. Filing dated by /s/ WONG Nga Yin Polin (CEO, Secretary, and Director). Status: APPROVED_PENDING_EFFECTIVE pending filing of Articles/Certificate of Conversion. DISAMBIGUATION: Not to be confused with the historical King Resources Company (John M. King; oil & gas; Colorado; Chapter X bankruptcy 1971) — a separate, defunct entity. Primary source: PRE 14C accession 0001683168-26-004085, URL https://www.sec.gov/Archives/edgar/data/0000774415/000168316826004085/king_pre14c.htm. Verified independently by external + internal hostile red-team subagents 2026-05-26.
[2026-05-26 v6-rev84 external reviewer adjudication] Reviewer 1 (independent primary-source pull) flagged template artifacts in the PRE 14C: Class A/B common stock references where the issuer has only Common Stock + Series C Preferred; 'Mr. Houston' as supposed interested stockholder when the consenting stockholder is Lee; 'Franchise Tax Savings' section says company 'physically located in Hong Kong' then later 'virtual first company, but intend to maintain our corporate headquarters in California' — California language reads as un-scrubbed template residue. The cover-page address is Fo Tan, Hong Kong. These are filing-quality issues at the issuer/agent level, not dataset defects, but flagged for audit-trail completeness. Reviewer 1 also noted that the v6-rev83 'correction' to drop the a/k/a was itself an error — restored in v6-rev84.
[2026-05-26 v6-rev87 KRFG controller a/k/a restoration] The v6-rev84 'editorial correction' dropped 'a/k/a Herbert Ying Chiu Lee' because the cover page used 'Lee Ying Chiu Herbert'. Both orderings appear in the same PRE 14C (accession 0001683168-26-004085): cover page uses 'Lee Ying Chiu Herbert', while the Voting & Vote Required section identifies 'Herbert Ying Chiu Lee, holding an aggregate of 30,000,000 shares of Series C Preferred Stock.' Restored canonical form: 'Lee Ying Chiu Herbert (a/k/a Herbert Ying Chiu Lee).'
