The Texas Governance-Amendment Matrix — every firm, every provision

Texas's 2024–2026 reforms gave companies a menu of governance choices. This matrix shows, firm by firm, which provisions each company elected, declined, or left to the statutory default — and for the derivative-suit threshold, the actual percentage each firm set (3% is the statutory ceiling; Dream Finders set 1%). Click any column header for a plain-English explanation; click any cell for the firm's status and source. Reconciled to the v6 evidence ledger (2026-06-14, 222/222 confirm) with effectiveness deltas through 2026-06-17.

How to read a cell. In the §21.552 column an adopter shows the percentage threshold it set (3% or 1%); other elective columns show ✓ (elected) or ✗ (declined). A small means the election is in a proposed Texas charter/bylaws pending the shareholder vote and effectiveness; no superscript means already effective. The three right-most columns are statutory defaults that apply to every Texas corporation automatically; the business-judgment-rule column is automatic for listed companies.
SMU Cox · Corporate Governance Initiative. Hydrated from the canonical Texas Governance-Amendment ledger (TX_Governance_Amendment_Matrix_v6.xlsx / §150.8); §21.552 uses numeric discipline (no bare "1"). Deltas applied 2026-06-17: TTEC effective (2026-05-22), VOYG approved 2026-05-29 (1% threshold in the proposed charter — not yet effective; EDGAR still shows Delaware, per the §21.552 audit), ASLE/SPRU §21.552 refuted (proxies carry only enabling language, no affirmative 3% clause), UAMY effective (MT→TX conversion, effective in Texas 2025-08-18 per Form 8-K Item 3.03/5.03 — corrects the earlier "still Montana" coding; 3% threshold + forum + jury per new TX bylaws Art. XI). Descriptive context, not legal advice. TBOC §21.552(a)(3) caps the electable threshold at 3%.
